These terms

These terms cover your use of mdvworks.com and describe the general basis on which MDV Works LLC provides services. A signed proposal or statement of work always takes priority over anything on this page.

The website

Content on this site is provided for information. Descriptions of services, timelines, and price ranges are indicative and do not constitute an offer. Nothing here creates a contract until we both sign a proposal.

Proposals and scope

We quote fixed prices against a written scope. Work outside that scope is quoted separately before it starts. Timelines assume you provide content, approvals, and access when agreed.

Payment

Unless a proposal says otherwise, projects are invoiced in milestones with a deposit at the start, and monthly plans are invoiced in advance. Invoices are due on the terms stated on the invoice.

Ownership

On final payment, you own the custom code, designs, and content we produce for you, along with the hosting accounts, domains, and credentials, which are in your name from the start. We keep ownership of our general know-how and any pre-existing or open-source components, which remain under their own licences.

Third-party services

Projects usually depend on services we do not control, such as payment processors, hosting, messaging platforms, and AI providers. Their fees, terms, and availability are between you and them. We will tell you which ones a project needs before you commit.

Confidentiality

We keep your business information confidential and use it only to do the work. We will sign your NDA if you have one.

Warranties and liability

We warrant that the work will be performed with reasonable skill and care. Beyond that, the website and its content are provided as is, without other warranties. To the fullest extent permitted by Florida law, our total liability for any claim is limited to the amounts you paid us for the work giving rise to the claim, and neither party is liable for indirect or consequential loss.

Ending an engagement

Either side can end a monthly plan with 30 days written notice. If a project is cancelled, you pay for work completed and approved up to that date, and we hand over what exists.

Governing law

These terms are governed by the laws of the State of Florida, and any dispute will be handled in the state or federal courts located in Miami-Dade County, Florida.
